Job Summary

 

Responsible for negotiating, writing, reviewing, summarizing, researching and executing a wide variety of agreements for companies and clients, including marketing agreements, business associate agreements, license agreements, real estate leases, confidentiality agreements, non-disclosure agreements and other general business contracts both domestically and internationally. Additional responsibilities include overseeing Healthcare compliance program, implementation, review OIG updates, implement change based on Healthcare reform, and have specific knowledge regarding Healthcare law. The General Counsel and Compliance Officer provides support and advises Medcillary to ensure that its business is in accordance with the highest standards of ethical practices, as well as compliant with all applicable local, state, and federal laws, while maintaining a culture of integrity.

 

Duties and responsibilities

 

  • Provide support and advice to Medcillary and subsidiary organizations
  • Negotiate, write, and execute agreements and contracts.
  • Implement, create and lead Compliance program.
  • Must be well versed on Healthcare law including STARK, AKS, etc.
  • Offer counsel on a variety of legal issues.
  • Provide oversight in the development, revisions, and implementation of policies and procedures, including risk management for the organization.
  • Advise executives within the company and work alongside employees in Strategic Business Units, Marketing, Brand Communication, Sales, Human Resources, and Corporate Alliances.
  • Manage various projects and deadlines.
  • Lead legal and compliance training for company employees.
  • Advise executives on contract status, legal risks and business terms of various deals.
  • Explain legal language.
  • Provide assistance with global joint ventures, strategic partnership deals, and mergers and acquisitions.
  • Draft terms and conditions in agreements.
  • Ensure legal objectives are met.
  • Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions, and codes.
  • Keep abreast of legislative changes that may affect the company and its affiliates.
  • Perform pre-litigation work to minimize risks and maximize legal rights.
  • Review advertising and marketing materials to ensure compliance with legal requirements.
  • Develop solutions to complex legal questions.
  • Provide training to company and its affiliates on substantive legal topics.

 

 

Qualifications and Skills

 

  • Juris Doctorate Required
  • Practicing Attorney 10+ years Required
  • Healthcare Law Experience 4+ years Required
  • Contractual and Transactional experience 5+ years Required
  • Corporate Law Experience 7+ years Preferred
  • Proven General Counsel experience in business environments
  • Overall broad legal knowledge (corporate law, litigation, labor law, etc.)
  • In-depth understanding of how legal issues effect organizations
  • Ability to develop legal strategy and objectives
  • Well-versed in how businesses operate with financial acumen
  • High degree of professional ethics, integrity and gravitas
  • Excellent judgment and analytical skills
  • First class interpersonal and communication skills
  • Ability to anticipate legal issues or risks and to “see around the corner"
  • Proven experience as a compliance officer
